Terms of Service

These Terms of Service govern access to and use of services provided by ArbiXcel Systems (“ArbiXcel”, “we”, “us” or “our”).

1. Service Description

ArbiXcel designs, configures and may maintain AI-assisted voice dispatch, customer-intake, appointment-scheduling and operational automation systems for service businesses. The precise scope of each deployment is defined in the applicable proposal, order form, statement of work or written agreement.

2. Third-Party Services

ArbiXcel systems may depend on third-party services including telephony providers, AI platforms, cloud hosting, database providers, CRM systems, FSM systems, calendars and other integrations. ArbiXcel does not control the availability, policies, APIs, service levels or technical operation of third-party platforms. Integration availability may change.

3. Implementation Timelines

Any stated deployment period, including an approximately 14-day implementation target, is an estimate unless expressly guaranteed in a signed agreement. Delivery timelines may be affected by client response times, access permissions, third-party API availability, technical complexity, integration restrictions, approval processes, testing, requested customisations and external service outages.

4. Client Responsibilities

Clients are responsible for providing accurate business information, approved services, scheduling rules, service areas, operating hours, escalation rules, pricing information where applicable, authorised credentials, required platform access, lawful instructions, appropriate emergency procedures and nominated human contacts where required.

5. AI Limitations

AI systems can make mistakes. ArbiXcel does not guarantee that every caller statement, accent, address, technical issue or intention will always be interpreted perfectly. Clients should maintain appropriate human oversight and operational fallback procedures.

6. Appointments and Operational Actions

Where appointment or CRM functionality is configured, actions depend on connected third-party systems. An appointment should only be treated as successfully created, cancelled or rescheduled after confirmation from the relevant connected system.

7. Emergencies

ArbiXcel is not an emergency service. Emergency-classification and escalation functionality is designed to support client operational workflows and does not replace emergency authorities, qualified emergency personnel or legally required procedures.

8. Availability

ArbiXcel aims to provide reliable services, but uninterrupted or error-free availability cannot be guaranteed. Service may be affected by maintenance, internet connectivity, telephony networks, cloud infrastructure, APIs, AI providers and other third-party dependencies.

9. Fees

Implementation fees, recurring fees, usage fees and third-party service costs will be described in the relevant commercial agreement. Third-party usage costs may vary according to call volume, telephony usage, AI usage, integration usage or other provider charges.

10. Intellectual Property

Unless otherwise agreed in writing, ArbiXcel retains ownership of its general methods, templates, implementation processes, reusable software components and know-how. Client-specific data remains subject to the applicable agreement and data-protection obligations.

11. Confidentiality

Both parties should protect confidential business, technical and customer information received in connection with the service.

12. Limitation of Liability

Any limitation of liability is subject to the signed client agreement and applicable law. Nothing in these website Terms excludes or limits liability that cannot legally be excluded or limited under the laws of England and Wales.

13. Termination

Termination rights, notice periods and treatment of prepaid fees are defined in the applicable commercial agreement. Implementation deposits are not treated as universally non-refundable unless that policy is properly agreed in writing for the particular engagement.

14. Governing Law

Unless otherwise agreed in writing, these Terms are governed by the laws of England and Wales, and disputes are subject to the jurisdiction of the courts of England and Wales.

15. Changes

ArbiXcel may update these website Terms from time to time. Material commercial obligations for active clients remain governed by the applicable signed agreement.
